The proposed license covers code and technical materials used for model training, post-training, safety, evaluation, inference and GPU-cluster management. It also includes tools for image and video generation, moderation and long-conversation safety, plus nine patents, according to a summary of the bidding-procedures motion filed in the Delaware bankruptcy case. The proposed transaction excludes the Character.AI app, brand elements, domains, consumer-facing applications, end-user data, user inputs and outputs, training data and finished models. Disney would also acquire certain unreleased claims involving former employees who accept jobs with Disney or its affiliates. [2]
